Mutual Non-Disclosure Agreement (NDA)
Solving Publishing ("Publisher") and the undersigned Author ("Author") agree as follows:

1. Purpose. The parties wish to explore a potential publishing or services relationship ("Purpose"). In connection with the Purpose, each may disclose certain confidential information ("Confidential Information").

2. Confidential Information. Confidential Information includes any non-public information disclosed in writing, orally, or by inspection related to the Author's manuscript(s), proposals, marketing plans, and business strategies, and the Publisher's processes, pricing, and business data. Confidential Information does not include information that is (a) already public without breach; (b) independently developed; or (c) obtained from a third party without duty of confidentiality.

3. Use and Protection. The receiving party will use Confidential Information solely for the Purpose, exercise reasonable care to protect it, and limit disclosure to personnel with a need to know who are bound by similar obligations.

4. No License. No intellectual property rights are granted by this Agreement.

5. Term. This Agreement commences on the date of signature and continues for 3 years after the last disclosure of Confidential Information.

6. Return/Destruction. Upon request, the receiving party will promptly return or destroy Confidential Information, except that one archival copy may be retained to comply with legal obligations.

7. Remedies. The parties acknowledge that unauthorized disclosure may cause irreparable harm and that injunctive relief may be appropriate in addition to other remedies.

8. Governing Law. This Agreement is governed by the laws of the state of the Publisher's principal place of business, without regard to conflict of laws principles.

9. Entire Agreement. This Agreement constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior discussions.
